ThyssenKrupp complies with all Code recommendations
On October 1, 2004 the Executive Board and Supervisory Board of ThyssenKrupp AG issued an unqualified declaration of conformity with the recommendations of the Government Commission on the German Corporate Governance Code in accordance with Art. 161 of the Stock Corporation Act (AktG).
The declaration of conformity reads:
"ThyssenKrupp AG complies with all recommendations of the Government Commission on the German Corporate Governance Code as amended on May 21, 2003, published by the Federal Ministry of Justice in the official section of the electronic Federal Gazette ("Bundesanzeiger"), and also complied with these recommendations in the period from October 1, 2003 to September 30, 2004."
In addition to the recommendations, the Code contains a number of suggestions for responsible corporate governance. Compliance with these suggestions is not subject to statutory disclosure under Art. 161 AktG. ThyssenKrupp complies with all but one of these suggestions: There are currently no plans to stagger the election dates or periods of office of Supervisory Board members.
