ThyssenKrupp complies with all recommendations of amended Code
On October 1, 2005 the Executive Board and Supervisory Board of ThyssenKrupp AG issued an unqualified declaration of conformity with the recommendations of the Government Commission on the German Corporate Governance Code in accordance with Art. 161 of the Stock Corporation Act (AktG).
The declaration of conformity reads:
"ThyssenKrupp AG complies with all recommendations of the Government Commission on the German Corporate Governance Code as amended on June 2, 2005, published by the Federal Ministry of Justice in the official section of the electronic Federal Gazette ("Bundesanzeiger"), and also complied with all recommendations of the Code in the period from October 1, 2004 to July 20, 2005 (Code version of May 21, 2003) and from July 21, 2005 to September 30, 2005 (Code version of June 2, 2005, published on July 20, 2005)."
In addition to the recommendations, the Code contains a number of suggestions for responsible corporate governance. Compliance with these suggestions is not subject to statutory disclosure under the provisions of the Stock Corporation Act. ThyssenKrupp complies with all but one of these suggestions: there are currently no plans to stagger the election dates or periods of office of Supervisory Board members.
