Articles of Association and Rules of Procedure
Under § 23 of the German Stock Corporation Act (Aktiengesetz), the articles of association of stock corporations may only be amended by resolution of the annual general meeting.
In addition, the Supervisory Board of ThyssenKrupp AG has issued Rules of Procedure for the Executive Board which govern the work of the Executive Board and the distribution of responsibilities. The distribution of responsibilities is specified in more detail in the organization chart. The Supervisory Board has also issued Rules of Procedure for itself and its Audit Committee.
