Declaration of conformity

Under Art. 161 of the Stock Corporation Law (AktG) the Executive Board and Supervisory Board of a listed German stock corporation are required to issue an annual declaration stating whether the German Corporate Governance Code has been and is being observed and which of the Code's recommendations have not been or are not being applied and why.

ThyssenKrupp complies with all recommendations of the Code as amended on June 18, 2009 and also complied with all recommendations of the Code in the period from October 1, 2008 to the Supervisory Board meeting on September 4, 2009 (Code version of June 6, 2008) and from September 5 to September 30, 2009 (Code version of June 18, 2009). The Executive Board and Supervisory Board of ThyssenKrupp AG issued an unconditional declaration of conformity in accordance with Art. 161 AktG at October 1, 2009.
