ThyssenKrupp has more than 250,000 shareholders. 90% of the capital stock is held by institutional investors and investors with major holdings. Private investors hold 10% of the capital stock. The largest shareholder is the Alfried Krupp von Bohlen und Halbach Foundation, Essen, which holds 25.33% of the voting rights in ThyssenKrupp AG. The free float is 74.67% (as of September 2011).

How and when were ThyssenKrupp shares created?
ThyssenKrupp shares were created as a result of the merger of Thyssen AG and Fried. Krupp AG Hoesch-Krupp to form ThyssenKrupp AG. The stock was first traded on March 25, 1999, opening on the Xetra electronic exchange at a price of €17.90.
Is it still possible to exchange shares of the former Thyssen AG and Fried. Krupp AG Hoesch-Krupp?
The official deadline for exchanging shares was June 25, 1999. However shares of the two companies can still be exchanged for ThyssenKrupp AG shares. The exchange of shares is handled by Commerzbank AG in Frankfurt/Main. Shareholders who still have old certificates should contact their bank.
What was the exchange ratio?
Under the Merger Agreement of October 16, 1998, the capital stock of ThyssenKrupp AG amounts to DM 2,572,445,220 and is divided into 514,489,044 no-par-value shares. The DM 50 par-value shares of the two former companies were exchanged for no-par-value shares of ThyssenKrupp AG; Thyssen shares at a rate of 1 to 10 and Krupp shares at a rate of 1 to 7.88.

How high is the capital stock today and how is it divided up?
Since June 8, 2000 the capital stock has totaled €1,317,091,952.64 and is divided into 514,489,044 no-par-value bearer shares. Theoretically, therefore, each no-par-value share corresponds to €2.56 of the capital stock.
Can I receive share certificates?
No. Art. 5 para. 3 of our Articles of Association excludes the certification of shares. The capital stock is represented exclusively by global certificates.
What amounts of dividend have been paid so far and when were they paid?
For fiscal year 2010/2011, a dividend of €0.45 was paid on January 23, 2012.
Until when do I need to purchase shares to be entitled to a dividend?
Shareholders are entitled to a dividend payment according to the number of shares in the Company they hold in their account at the day of the Annual General Meeting. A minimum period of holding the shares before or after the Annual General Meeting is not required.
