Shareholder structure

As ThyssenKrupp AG has issued bearer shares, we have no knowledge of the names of our shareholders and the amounts of voting interests they hold. However, shareholder surveys carried out with the aid of external service providers and depositary banks can help us obtain a picture of the shareholder structure at a given date.

In addition, under the Securities Trading Act (WpHG), shareholders are obligated to inform the Company and the Federal Financial Supervisory Authority (Bundesanstalt für Finanzdienstleistungsaufsicht) when the amount of their voting interest changes related to specified thresholds.

Further, the total number of invitations to our Annual General Meetings sent out by the banks provides additional information on shareholder numbers.

On the basis of these sources, we can provide the following information on our shareholder structure as per September 30, 2011:

  • ThyssenKrupp has more than 250,000 shareholders.
  • The Alfried Krupp von Bohlen und Halbach Foundation, Essen holds 25.33% of the voting rights in ThyssenKrupp AG.

90% of the capital stock of ThyssenKrupp AG is held by institutional investors and investors with larger stockholdings. Private investors hold 10% of the capital stock.

More than 50% of the capital stock is held at German-based investors. Internationally, shareholders in North America represent the largest group with almost 15.3% of the capital stock. 12.2% is held in Continental Europe (without Germany) - the most prominent countries here are France, Norway and Schwitzerland. 9.4% of the capital stock is held in UK/Ireland.

The free float, which is relevant for the weighting of the ThyssenKrupp stock in the indices, amount to 74.67% of the capital stock. (As of September 2011)
